Welcome to The Vault NYC. These Terms of Service ("Terms") govern your access to and use of the website operated by The Vault NYC HK LLC ("The Vault NYC," "we," "us," or "our"), located at 167 Madison Ave, Ste 205 #519, New York, NY 10016, and any purchase you make from us. By accessing our site or placing an order, you agree to these Terms. If you do not agree, please do not use the site.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use our site or make a purchase. By using the site you represent that you meet these requirements and that the information you provide is accurate.

2. Our products

The Vault NYC sells guaranteed-authentic excess designer inventory. The large majority of our pieces are brand-new unless a listing states otherwise, and most items are one-of-one — we typically hold a single unit of each piece. Because our inventory is singular, an item may sell at any time and may not be restocked.

We make every effort to display products, colors, condition, and measurements accurately, but we cannot guarantee that your device displays colors precisely, and slight variations in described measurements may occur. Each piece's condition is described on its product page.

3. Pricing and availability

All prices are listed in U.S. dollars unless stated otherwise and are subject to change without notice. Any "compare-at" or original-retail reference price is an estimate of a typical original retail price and is provided for comparison only. We reserve the right to correct pricing errors, to limit quantities, and to modify or discontinue products at any time.

4. Orders and acceptance

Your order is an offer to purchase. All orders are subject to our acceptance, and we may refuse or cancel any order for any lawful reason, including suspected fraud, pricing errors, or unavailability. If we cancel an order after you have been charged, we will refund the amount paid.

5. Payment

By providing a payment method you represent that you are authorized to use it and you authorize us (and our payment processors) to charge the full order amount, including applicable taxes and shipping. We do not store full payment card numbers; payments are processed by third-party providers.

6. Authenticity guarantee

We stand behind the authenticity of every item we sell. Our authenticity guarantee and the process for raising a concern are described on our Authenticity page and are incorporated into these Terms.

7. Shipping

Shipping methods, timing, insurance, and costs are described on our Shipping page and are incorporated into these Terms. Title and risk of loss pass to you upon delivery to the carrier; all shipments are insured as described in the Shipping policy. You are responsible for any customs duties, import taxes, or fees imposed by the destination country.

8. Returns and refunds

Returns, exchanges, store credit, restocking fees, and refund timing are governed by our Returns & Refunds policy, which is incorporated into these Terms. Certain items are final sale as described in that policy. Our authenticity guarantee applies regardless of final-sale status.

9. The Vault Private Client™

The Vault Private Client™ is an application-based membership offering first-access, tiered sourcing, and concierge benefits. Membership is billed on a recurring basis at the tier you select and continues until cancelled. Membership fees are credited toward your purchases as described at the time of enrollment. You may cancel at any time, effective at the end of the current billing period; fees already billed are non-refundable except as required by law or as expressly stated at enrollment. Benefits, tiers, and pricing may change on reasonable notice. Acceptance into the program is at our discretion.

10. Sourcing service

Our Sourcing service locates specific pieces on request. Where a sourcing request is accepted, we may require a deposit specific to the item and the arrangement. Deposit terms — including how the deposit is applied to your purchase and the circumstances in which it is or is not refundable — will be set out in the sourcing agreement provided to you before you commit. A deposit confirms your intent to purchase the sourced item on the agreed terms.

11. Intellectual property

All content on this site — including text, images, graphics, logos, and the "The Vault NYC" and "The Vault Private Client™" marks — is owned by or licensed to The Vault NYC and is protected by intellectual-property laws. You may not copy, reproduce, or use our content or marks without our prior written permission. Product images may include third-party brand names and trademarks that remain the property of their respective owners; their appearance does not imply affiliation with or endorsement by those brands.

12. Acceptable use

You agree not to use the site unlawfully; to attempt to gain unauthorized access to our systems; to interfere with the site's operation; to scrape, harvest, or misuse data; or to use the site to infringe others' rights. We may suspend or terminate access for any violation of these Terms.

13. Disclaimers

Except for our express authenticity guarantee and any warranties that cannot be excluded under applicable law, the site and products are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the site will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent permitted by law, The Vault NYC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of your use of the site or any product. Our total liability for any claim relating to a product will not exceed the amount you paid for that product.

15. Indemnification

You agree to indemnify and hold harmless The Vault NYC from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the site.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York, unless applicable law requires otherwise.

17. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted here with a revised "last updated" date. Your continued use of the site after changes are posted constitutes acceptance of the updated Terms.
